1. Welcome to Paycul
Welcome to Paycul ("Paycul," "we," "our," or "us").
Paycul is a digital marketplace that enables users to discover, buy, sell, and securely exchange digital products and services through an integrated escrow payment system. Our platform is designed to promote trust between buyers and sellers by holding payments securely until transaction requirements have been fulfilled.
These Terms of Service ("Terms") govern your access to and use of the Paycul website, mobile applications, APIs, and all related services (collectively, the "Platform").
By creating an account, browsing the Platform, funding your wallet, listing products, purchasing products, or otherwise using any Paycul service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all related policies incorporated by reference, including but not limited to our Privacy Policy, Escrow Policy, Refund Policy, Seller Policy, Buyer Protection Policy, Community Guidelines, and Acceptable Use Policy.
If you do not agree with these Terms, you must discontinue use of the Platform immediately.
2. Definitions
For purposes of these Terms, the following definitions apply:
- Account means a registered Paycul user profile.
- Buyer means any individual or organization purchasing a digital product or service through Paycul.
- Seller means any individual or organization listing or selling digital products or services through Paycul.
- Product means any digital asset, downloadable file, software, template, course, design, account, license, document, source code, subscription, or any other digital item permitted on the Platform.
- Order means a transaction initiated by a Buyer to purchase a Product.
- Escrow means Paycul's secure payment holding system that temporarily holds funds until transaction completion or resolution.
- Wallet means the digital balance maintained within a user's Paycul account for funding purchases, receiving earnings, refunds, bonuses, or referral rewards.
- Dispute means a formal request submitted to Paycul requesting investigation of a transaction disagreement.
- Return Request means a Buyer's request to reverse a completed delivery before funds are released to the Seller.
- Referral Reward means incentives granted under Paycul's Referral Program.
- KYC means Know Your Customer identity verification procedures implemented by Paycul.
- Content includes listings, descriptions, messages, images, reviews, files, comments, profile information, and any other material uploaded or submitted to the Platform.
3. Acceptance of These Terms
By accessing or using Paycul, you represent and warrant that:
- You have the legal capacity to enter into a binding agreement.
- You will comply with all applicable laws and regulations.
- All information you provide is accurate and current.
- You will use the Platform only for lawful purposes.
- You understand that Paycul acts as a marketplace and escrow facilitator and is not the creator, owner, or publisher of products listed by independent sellers unless expressly stated otherwise.
These Terms constitute a legally binding agreement between you and Paycul.
4. Eligibility
To use Paycul, you must:
- Be at least 18 years old or have reached the age of majority in your jurisdiction.
- Register an account using accurate and complete information.
- Maintain the security of your login credentials.
- Not be prohibited from using online marketplace services under applicable laws.
- Not have previously been suspended or permanently removed from Paycul unless expressly reinstated by Paycul.
Business entities using Paycul represent that the individual accepting these Terms has the authority to bind the organization.
Paycul reserves the right to refuse registration, suspend access, require additional verification, or terminate accounts where eligibility requirements are not satisfied.
5. Relationship Between Users and Paycul
Paycul provides the infrastructure that enables buyers and sellers to transact securely. Unless expressly stated otherwise:
- Paycul is not the owner of products listed by independent sellers.
- Paycul is not a party to the underlying contract between buyers and sellers.
- Paycul does not guarantee the legality, quality, accuracy, usefulness, or fitness of user-submitted products.
- Paycul may, however, investigate transactions, moderate content, enforce policies, suspend accounts, remove listings, and make escrow decisions where necessary to protect the integrity of the Platform.
Our escrow services are intended to reduce fraud and improve transaction security, but no online marketplace can guarantee that every transaction will be free from risk. Users are expected to exercise reasonable judgment before completing transactions.

7. User Accounts
7.1 Account Registration
To access certain features of Paycul, you must create a registered account. When registering, you agree to:
- Provide accurate, complete, and up-to-date information.
- Maintain and promptly update your account details whenever they change.
- Register only one personal account unless expressly authorized by Paycul.
- Keep your contact information current so we can communicate important account or transaction notices.
Providing false, misleading, or incomplete information may result in delayed transactions, account restrictions, suspension, or permanent termination.
7.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You agree to:
- Use a strong and unique password.
- Enable additional security features where available.
- Keep your login credentials confidential.
- Log out from shared or public devices.
- Notify Paycul immediately if you believe your account has been accessed without authorization.
Any activity performed through your account will generally be considered authorized by you unless we determine otherwise through our investigation. Paycul is not responsible for losses resulting from your failure to protect your account credentials.
7.3 Multiple Accounts
Users may not create multiple accounts to:
- Circumvent restrictions.
- Abuse referral programs.
- Avoid account limitations.
- Manipulate ratings or reviews.
- Engage in fraudulent activities.
Where multiple accounts are determined to belong to the same individual or organization for abusive purposes, Paycul reserves the right to suspend or permanently close some or all related accounts.
7.4 Account Information
You are responsible for ensuring that:
- Your email address remains valid.
- Your phone number remains active.
- Your payout details are accurate.
- Your profile information is truthful.
Failure to maintain accurate information may delay withdrawals, refunds, or identity verification.
8. Identity Verification (KYC)
8.1 Purpose
To protect buyers, sellers, and the integrity of the Platform, Paycul may require identity verification ("Know Your Customer" or "KYC") before certain activities. Verification helps prevent:
- Fraud
- Money laundering
- Identity theft
- Unauthorized account use
- Financial crime
- Abuse of the escrow system
8.2 When Verification May Be Required
Paycul may require identity verification before you can:
- Withdraw funds.
- Sell products.
- Purchase certain products.
- Receive referral payouts where applicable.
- Access high-risk marketplace features.
- Continue using the Platform following suspicious activity.
Verification may also be requested at any time where additional checks are reasonably necessary.
8.3 Acceptable Verification Documents
Depending on your country, Paycul may accept:
- National Identity Card
- International Passport
- Driver's License
- National Identification Number (NIN)
- Ghana Card
- Kenya National ID
- South African ID
- Other government-issued identification approved by Paycul
Additional documentation may be requested where necessary.
8.4 Verification Review
Submitting verification documents does not guarantee approval. Paycul may:
- Approve verification.
- Request additional documentation.
- Reject incomplete or fraudulent submissions.
- Require re-verification where necessary.
Verification decisions are made at Paycul's reasonable discretion.
8.5 Fraudulent Verification
Users must never submit:
- Altered documents.
- Forged documents.
- Another person's identification.
- AI-generated identification.
- Expired documents where current identification is required.
Fraudulent verification attempts may result in:
- Immediate suspension.
- Permanent account closure.
- Forfeiture of platform privileges.
- Reporting to relevant authorities where required by law.
9. Paycul Wallet
9.1 Wallet Overview
Paycul provides each eligible user with a digital wallet that may be used to:
- Fund purchases.
- Receive refunds.
- Receive seller earnings.
- Receive referral rewards.
- Receive promotional credits.
- Pay marketplace fees where applicable.
Wallet balances do not constitute a traditional bank account.
9.2 Funding Your Wallet
Users may fund their wallet using payment methods supported by Paycul from time to time. Available funding methods may vary by country.
Funds added to your wallet may be subject to fraud monitoring, payment verification, or temporary holding periods where necessary.
9.3 Wallet Usage
Wallet funds may only be used for legitimate transactions conducted through the Paycul Platform. Users must not:
- Transfer wallet balances outside approved withdrawal channels.
- Sell wallet balances.
- Exchange wallet balances privately.
- Use wallets to facilitate money laundering or unauthorized financial services.
9.4 Promotional Credits
Certain promotional bonuses, referral rewards, or campaign credits may:
- Be non-transferable.
- Be non-withdrawable.
- Expire after a specified period.
- Be usable only toward eligible Paycul transactions.
Paycul reserves the right to modify or discontinue promotional programs at any time.
10. Payments
10.1 Payment Processing
Payments made through Paycul are processed using approved payment providers. When a Buyer completes payment:
- Funds may be placed into escrow.
- Sellers are notified of the purchase.
- The transaction proceeds according to Paycul's Escrow Policy.
10.2 Currency
Paycul supports multiple currencies. Currency availability depends on the user's country and supported payment methods. Exchange rates, where applicable, may be determined by payment providers or financial institutions rather than Paycul.
10.3 Transaction Monitoring
Paycul reserves the right to monitor transactions for:
- Fraud prevention.
- Compliance with applicable laws.
- Marketplace integrity.
- Security investigations.
- Suspicious financial activity.
Transactions identified as unusually risky may be delayed, cancelled, or subjected to additional verification.
11. Withdrawals
11.1 Eligibility
Withdrawals may only be made by users who satisfy all applicable requirements, including:
- Successful identity verification where required.
- Compliance with these Terms.
- No active restrictions on the account.
- Availability of withdrawable funds.
11.2 Pending Balances
Certain funds may remain unavailable for withdrawal while:
- Held in escrow.
- Under dispute.
- Subject to fraud review.
- Awaiting payment confirmation.
- Required by law to remain temporarily restricted.
11.3 Withdrawal Review
Paycul may delay or decline withdrawals where necessary to:
- Investigate suspicious activity.
- Prevent fraud.
- Comply with legal obligations.
- Protect buyers and sellers.
- Correct processing errors.
11.4 Incorrect Withdrawal Information
Users are solely responsible for providing accurate payout information. Paycul is not responsible for funds sent to an incorrect destination due to information supplied by the user.
11.5 Negative Balances
If a user's account develops a negative balance due to chargebacks, refunds, reversals, fraud, or administrative adjustments, Paycul reserves the right to:
- Offset future earnings.
- Deduct available wallet funds.
- Suspend withdrawals until the balance is resolved.
- Pursue recovery of outstanding amounts through lawful means.
12. Taxes
Users are solely responsible for determining, reporting, and paying any taxes applicable to their activities on Paycul. Paycul may collect tax-related information where required by applicable law and may withhold or report information where legally obligated.
13. Buying on Paycul
13.1 Purchasing Products
Buyers may purchase eligible digital products and services listed on the Platform using supported payment methods or available wallet balances. By placing an order, the Buyer confirms that they:
- Have reviewed the product description before purchasing.
- Understand the product being purchased.
- Have sufficient funds to complete the transaction.
- Intend to complete the purchase in good faith.
13.2 Buyer Responsibilities
Buyers are responsible for:
- Reading the full product description before purchase.
- Reviewing screenshots, previews, and specifications.
- Ensuring the product meets their needs.
- Following installation or usage instructions provided by the Seller.
- Keeping purchased products secure after delivery.
- Reporting issues through Paycul before releasing escrow funds.
Failure to carefully review a listing before purchase does not automatically entitle a Buyer to a refund.
13.3 Digital Product Nature
Unless otherwise stated, products sold through Paycul are digital in nature and are delivered electronically. Due to the nature of digital goods, products may become accessible immediately after delivery. Buyers should therefore inspect and verify deliveries promptly.
13.4 Buyer Conduct
Buyers must not:
- Attempt to obtain products without payment.
- Abuse the return request process.
- Submit false disputes.
- Intentionally delay transactions to inconvenience Sellers.
- Harass Sellers.
- Circumvent the escrow process by arranging payment outside Paycul.
Repeated abusive conduct may result in account restrictions or permanent suspension.
14. Selling on Paycul
14.1 Seller Responsibilities
Sellers are responsible for ensuring that every listing is:
- Accurate.
- Complete.
- Truthful.
- Lawfully offered.
- Free from misleading information.
Sellers must have the legal right to sell every product listed on the Platform.
14.2 Product Ownership
By listing a product, the Seller represents and warrants that:
- They own the product or possess all necessary rights to sell or license it.
- The listing does not infringe any copyright, trademark, patent, trade secret, or other intellectual property rights.
- The product complies with Paycul policies and applicable law.
14.3 Product Delivery
Sellers must deliver products in the manner described in their listing. Where login credentials, license keys, downloadable files, or access links are provided, Sellers must ensure they are valid and functional at the time of delivery.
14.4 Seller Conduct
Sellers must not:
- Sell stolen or unauthorized digital assets.
- Sell pirated software or copyrighted materials without permission.
- Misrepresent products.
- Deliver different products from those advertised.
- Attempt to manipulate reviews or ratings.
- Encourage Buyers to complete transactions outside Paycul.
Violation of these rules may result in listing removal, forfeiture of funds, account suspension, or permanent termination.
15. Escrow Service
15.1 Purpose of Escrow
Paycul's escrow service is designed to provide a secure transaction environment by temporarily holding Buyer funds until the transaction is completed or otherwise resolved in accordance with these Terms. Escrow is intended to reduce fraud and provide both Buyers and Sellers with a fair opportunity to complete transactions.
15.2 Funding Escrow
Upon successful payment:
- Buyer funds are transferred into Paycul's escrow system.
- The Seller is notified of the order.
- Delivery may begin according to the listing terms.
Escrow funds remain unavailable to the Seller until they are released.
15.3 Release of Funds
Escrow funds may be released when:
- The Buyer confirms satisfaction with the product.
- The Buyer voluntarily releases the funds.
- A dispute is resolved in favor of the Seller.
- The transaction reaches automatic completion according to Paycul's Escrow Policy.
- Any other circumstance permitted under these Terms.
Once escrow funds have been released, the transaction is generally considered completed.
15.4 Irreversible Release
Once a Buyer voluntarily releases escrow funds, that action is generally irreversible. Buyers should release funds only after confirming that:
- The product has been received.
- The product matches the listing.
- All required files or credentials have been delivered.
- The product functions substantially as described.
15.5 Automatic Release
Where Buyers fail to respond within the applicable transaction period, Paycul may automatically release escrow funds to the Seller, provided no return request or dispute has been initiated before the expiry of that period. The applicable timeframe is determined by Paycul's Escrow Policy and may vary depending on the type of transaction.
16. Return Requests
16.1 Purpose
Before escrow funds are released, Buyers may submit a return request where they believe the delivered product does not substantially conform to the listing. Return requests are intended to encourage communication between Buyers and Sellers before formal disputes become necessary.
16.2 Valid Reasons
Examples of valid return requests may include:
- Incorrect product delivered.
- Invalid login credentials.
- Broken download links.
- Corrupted files.
- Missing essential files.
- Product materially different from the listing.
- Duplicate purchases caused by technical errors.
Submission of a return request does not automatically result in a refund.
16.3 Seller Response
Upon receiving a return request, the Seller may:
- Accept the request.
- Reject the request.
- Provide corrections.
- Replace files.
- Supply missing information.
- Resolve the issue through communication with the Buyer.
16.4 Abuse
Buyers must not use return requests to obtain products without payment. Sellers must not reject legitimate return requests in bad faith. Abuse of the return process may result in penalties against either party.
17. Disputes
17.1 Filing a Dispute
Where Buyers and Sellers cannot resolve a disagreement through communication or a return request, either party may file a formal dispute. Disputes should be filed only where genuine disagreement exists.
17.2 Investigation
During dispute review, Paycul may examine:
- Chat messages.
- Product descriptions.
- Screenshots.
- Uploaded evidence.
- Delivery records.
- Transaction history.
- Account history.
- Technical evidence where available.
Both parties agree to cooperate fully during investigations.
17.3 Decisions
Following investigation, Paycul may:
- Release escrow funds to the Seller.
- Refund the Buyer.
- Partially refund the Buyer where appropriate.
- Require additional evidence.
- Remove listings.
- Suspend accounts.
- Apply administrative penalties for policy violations.
Paycul's decision is final unless otherwise required by applicable law.
17.4 Fraudulent Disputes
Users who knowingly submit false evidence, fabricated claims, altered screenshots, or otherwise attempt to manipulate the dispute process may face:
- Account suspension.
- Permanent termination.
- Loss of marketplace privileges.
- Administrative penalties.
- Referral to relevant authorities where appropriate.
18. Marketplace Fees
Paycul may charge fees for:
- Escrow services.
- Seller commissions.
- Premium memberships.
- Advertising services.
- Featured listings.
- Withdrawal processing.
- Other marketplace services introduced in the future.
Applicable fees are published in Paycul's Fees & Pricing Policy and may be updated from time to time.
19. Referral Program
Paycul may operate a referral program that rewards eligible users for referring new customers. Participation is subject to the Referral Program Terms. Users must not:
- Create fake accounts.
- Refer themselves.
- Use fraudulent identities.
- Manipulate referral rewards.
- Abuse promotional campaigns.
Referral rewards obtained through fraudulent means may be revoked without notice.
20. Intellectual Property
20.1 Paycul Intellectual Property
Unless otherwise stated, all rights, title, and interest in the Paycul Platform—including its software, branding, logos, trademarks, graphics, user interface, website design, mobile applications, databases, and original content—are owned by or licensed to Paycul. These Terms do not grant users ownership of any Paycul intellectual property.
Users may not, without prior written permission:
- Copy or reproduce Paycul content.
- Reverse engineer the Platform except where permitted by law.
- Modify or create derivative works from Paycul software.
- Use Paycul branding in a misleading manner.
- Remove copyright or proprietary notices.
20.2 User Content
Users retain ownership of the content they submit to Paycul. By uploading listings, images, descriptions, files, reviews, comments, or other content, you grant Paycul a worldwide, non-exclusive, royalty-free license to:
- Display your content on the Platform.
- Reproduce your content for marketplace operations.
- Cache and store your content.
- Promote your listings through Paycul marketing channels.
- Moderate or remove content that violates these Terms.
This license ends when the content is permanently removed from the Platform, except where retention is required by law or for dispute resolution.
20.3 Copyright Complaints
Paycul respects intellectual property rights. If you believe your copyrighted work has been used without authorization, you may submit a copyright complaint in accordance with our Copyright Policy. Paycul may remove or disable access to allegedly infringing content while investigating a complaint.
21. Prohibited Activities
Users must not use Paycul to engage in unlawful, harmful, deceptive, or abusive conduct. Examples include, but are not limited to:
- Selling stolen or unauthorized digital assets.
- Selling pirated software or copyrighted works without permission.
- Distributing malware, viruses, spyware, ransomware, or malicious code.
- Offering phishing kits, stolen credentials, or hacking tools intended for illegal use.
- Listing products that infringe intellectual property rights.
- Money laundering or financial crime.
- Creating fake accounts.
- Circumventing escrow.
- Manipulating reviews or ratings.
- Harassing, threatening, or abusing other users.
- Uploading deceptive or misleading listings.
- Attempting to interfere with Platform security.
- Using automated tools to scrape or overload the Platform without authorization.
Paycul may remove prohibited content without prior notice.
22. Platform Availability
While Paycul strives to provide reliable services, uninterrupted availability cannot be guaranteed. The Platform may become temporarily unavailable due to:
- Scheduled maintenance.
- Emergency maintenance.
- Security incidents.
- Internet outages.
- Third-party service failures.
- Events beyond Paycul's reasonable control.
Paycul is not liable for temporary interruptions or delays in service.
23. Suspension and Termination
23.1 Suspension
Paycul may suspend or restrict an account where we reasonably believe that the user has:
- Violated these Terms.
- Violated applicable law.
- Attempted fraud.
- Abused the dispute system.
- Submitted false verification documents.
- Circumvented marketplace protections.
- Engaged in conduct harmful to the Platform or its users.
Suspension may be temporary or permanent depending on the severity of the conduct.
23.2 Termination
Paycul may permanently terminate an account where violations are serious, repeated, or otherwise threaten the integrity or security of the Platform. Examples include:
- Fraud.
- Identity theft.
- Repeated copyright infringement.
- Money laundering.
- Sale of prohibited products.
- Serious abuse of buyers or sellers.
Termination may result in:
- Removal of listings.
- Cancellation of pending transactions where appropriate.
- Loss of marketplace privileges.
- Permanent restriction from creating future accounts.
23.3 User-Initiated Closure
Users may request deletion of their Paycul account at any time through the Platform, subject to:
- Completion of pending transactions.
- Resolution of active disputes.
- Applicable legal retention requirements.
- Outstanding balances or obligations.
Certain information may be retained where required by law, fraud prevention obligations, or legitimate business purposes.
24. Disclaimers
The Platform is provided on an "as available" and "as is" basis. To the fullest extent permitted by law, Paycul does not guarantee that:
- Every product will meet a Buyer's expectations.
- Every Seller will perform as promised.
- Every transaction will be free from dispute.
- The Platform will always be uninterrupted or error-free.
While Paycul provides escrow and moderation services to improve marketplace safety, users acknowledge that online transactions inherently involve some level of risk.
25. Limitation of Liability
To the maximum extent permitted by applicable law, Paycul, its officers, employees, affiliates, and partners shall not be liable for:
- Indirect damages.
- Incidental damages.
- Consequential damages.
- Loss of profits.
- Loss of business opportunities.
- Loss of goodwill.
- Loss of data.
- Unauthorized account access resulting from a user's failure to secure their credentials.
Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.
26. Indemnification
You agree to defend, indemnify, and hold harmless Paycul, its affiliates, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:
- Your use of the Platform.
- Your violation of these Terms.
- Your infringement of another person's rights.
- Your unlawful conduct.
- Products or content you upload or sell.
27. Governing Law and Dispute Resolution
These Terms shall be governed by the laws applicable to the legal entity operating Paycul for your region, without regard to conflict of law principles.
Where permitted by law, users agree to first attempt to resolve disputes with Paycul through good-faith communication before commencing legal proceedings.
Nothing in these Terms limits any mandatory consumer rights that cannot legally be waived.
28. Changes to These Terms
Paycul may update these Terms from time to time to reflect:
- Changes in law.
- New Platform features.
- Security improvements.
- Business operations.
- Regulatory requirements.
Where changes are material, Paycul will provide reasonable notice through the Platform, email, or other appropriate communication channels.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.
29. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
30. No Waiver
Failure by Paycul to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
31. Entire Agreement
These Terms, together with the policies expressly incorporated by reference, constitute the entire agreement between you and Paycul regarding your use of the Platform and supersede all prior understandings relating to the subject matter.
