Copyright & Intellectual Property Policy

1. Introduction

Paycul is committed to respecting and protecting intellectual property rights.

As a digital marketplace, Paycul allows users to buy and sell original digital products. We expect every user to respect the copyrights, trademarks, patents, trade secrets, and other intellectual property rights of others.

This Copyright & Intellectual Property Policy explains the responsibilities of users, the procedures for reporting infringement, and the actions Paycul may take when intellectual property concerns arise.

This Policy forms part of Paycul's Terms of Service and should be read together with our Seller Policy, Acceptable Use Policy, Community Guidelines, and other applicable Platform policies.

2. Our Commitment

Paycul supports creators, developers, designers, educators, businesses, and other rights holders by providing a marketplace that encourages lawful distribution of digital products.

We do not knowingly permit:

  • Copyright infringement.
  • Trademark infringement.
  • Unauthorized distribution.
  • Counterfeit digital assets.
  • Stolen creative works.
  • Misappropriation of intellectual property.

Where credible infringement reports are received, Paycul will investigate and take appropriate action.

3. What is Intellectual Property?

Intellectual property ("IP") refers to legal rights protecting original creations and distinctive business identifiers.

Examples include:

  • Copyrights.
  • Trademarks.
  • Patents.
  • Trade secrets.
  • Software source code.
  • Website designs.
  • Graphic designs.
  • Digital artwork.
  • eBooks.
  • Online courses.
  • Audio recordings.
  • Video content.
  • Databases.
  • Brand names and logos.

These rights belong to the creator or lawful rights holder unless transferred or licensed.

4. Seller Responsibilities

Every Seller is responsible for ensuring that they have the legal right to sell every product listed on Paycul.

By publishing a listing, the Seller represents and warrants that:

  • They own the intellectual property; or
  • They possess all necessary licences, permissions, or authorizations to distribute the product.

Sellers must not upload or sell content that infringes the rights of another person or organization.

5. Buyer Responsibilities

Buyers must respect the intellectual property rights associated with purchased products.

Unless the product licence expressly permits otherwise, Buyers must not:

  • Redistribute purchased products.
  • Resell products.
  • Upload purchased products elsewhere.
  • Remove copyright notices.
  • Claim ownership of another person's work.
  • Share licence keys or access credentials with unauthorized persons.

Purchasing a product does not automatically transfer ownership of the underlying intellectual property.

Only the licence or usage rights described in the product listing are transferred to the Buyer.

6. Copyright Ownership

Unless expressly stated otherwise, all copyrights remain with the original creator or lawful rights holder.

Purchasing a digital product generally grants the Buyer a licence to use the product under the terms described by the Seller.

Ownership of the intellectual property remains with the rights holder unless explicitly transferred in writing.

7. Trademarks

Users must not use another person's:

  • Brand name.
  • Company name.
  • Logo.
  • Trade dress.
  • Slogans.
  • Other protected business identifiers

without authorization where such use would infringe applicable trademark rights or mislead others.

Listings must not falsely suggest sponsorship, endorsement, affiliation, or partnership with another individual or organization.

8. Prohibited Intellectual Property Violations

The following activities are prohibited:

  • Selling pirated software.
  • Uploading stolen source code.
  • Distributing copyrighted works without permission.
  • Selling counterfeit licences.
  • Copying another Seller's listings or products.
  • Removing copyright notices.
  • Circumventing licence protections.
  • Selling products obtained through unauthorized access.
  • Misrepresenting ownership of creative works.

Violations may result in immediate enforcement action.

9. Reporting Infringement

If you believe your intellectual property rights have been infringed on Paycul, you may submit a report to Paycul.

To assist with our review, your report should include:

  • Your full name or business name.
  • Contact information.
  • A description of the intellectual property.
  • The location (URL) of the allegedly infringing listing.
  • An explanation of why you believe the content infringes your rights.
  • Any supporting evidence or documentation.
  • A statement that the information provided is accurate to the best of your knowledge.

Incomplete reports may delay the review process.

10. Review of Complaints

Upon receiving an intellectual property complaint, Paycul may:

  • Acknowledge receipt of the report.
  • Review the information provided.
  • Request additional information from either party.
  • Temporarily restrict or hide the listing while the matter is reviewed.
  • Notify the Seller of the complaint.
  • Take any other action reasonably necessary to investigate the matter.

Submission of a complaint does not automatically result in the removal of content.

Paycul aims to review complaints fairly and impartially based on the available evidence.

11. Counter-Notice Procedure

If a Seller believes that a product was removed or restricted as a result of an incorrect or mistaken intellectual property complaint, the Seller may submit a counter-notice.

A counter-notice should include:

  • The Seller's full name or business name.
  • Contact information.
  • Identification of the affected listing.
  • An explanation of why the Seller believes the complaint was made in error.
  • Any supporting evidence demonstrating ownership, licensing, or authorization.
  • A statement that the information provided is true and accurate to the best of the Seller's knowledge.

Paycul may review the counter-notice and request additional information before making a final decision.

12. Investigation Process

When investigating an intellectual property complaint, Paycul may:

  • Review the reported listing.
  • Examine supporting documentation.
  • Compare the allegedly infringing content with the claimed original work.
  • Request additional evidence from the complainant or the Seller.
  • Consult legal advisers or independent experts where appropriate.
  • Consider previous infringement reports involving the same account.

Paycul aims to conduct investigations fairly, impartially, and within a reasonable timeframe.

13. Repeat Infringer Policy

Users who repeatedly infringe the intellectual property rights of others may be subject to escalating enforcement actions.

Depending on the circumstances, Paycul may:

  • Issue warnings.
  • Remove individual listings.
  • Restrict selling privileges.
  • Suspend account access.
  • Permanently terminate the account.
  • Restrict future account creation where permitted by law.

The seriousness, frequency, and pattern of violations will be considered when determining the appropriate action.

14. False or Misleading Claims

Paycul expects all intellectual property complaints and counter-notices to be submitted honestly and in good faith.

Users must not knowingly:

  • Submit false infringement claims.
  • Falsely claim ownership of intellectual property.
  • Submit fabricated evidence.
  • Use intellectual property complaints to harass competitors.
  • Attempt to remove legitimate listings through dishonest reporting.

Knowingly making false or misleading claims may result in enforcement action, including account suspension or termination.

15. AI-Generated Content

Paycul permits the sale of AI-assisted or AI-generated content where it is lawful and does not infringe the rights of others.

Sellers remain solely responsible for ensuring that:

  • They have the legal right to distribute the content.
  • The content does not violate copyright, trademark, publicity, privacy, or other intellectual property rights.
  • The listing accurately describes the nature of the product where disclosure is appropriate.
  • Any third-party tools or models used permit commercial distribution.

Paycul reserves the right to remove AI-generated content that infringes intellectual property rights or violates applicable laws or Platform policies.

16. Open-Source Software

Products containing or incorporating open-source software may be listed only if the Seller complies with the applicable licence terms.

Where required by the relevant licence, Sellers should:

  • Preserve copyright notices.
  • Include required licence text.
  • Provide source code where legally required.
  • Clearly identify applicable open-source licences.
  • Comply with all licence obligations.

Failure to comply with applicable licence requirements may result in listing removal or other enforcement action.

17. Enforcement Actions

Where Paycul determines that a user has violated this Policy, we may take one or more of the following actions:

  • Remove or disable access to the affected listing.
  • Issue a warning.
  • Require additional proof of ownership.
  • Restrict selling privileges.
  • Suspend payouts where reasonably necessary.
  • Temporarily suspend the account.
  • Permanently terminate the account.
  • Cooperate with competent authorities where required by applicable law.

The action taken will depend on the nature, severity, and frequency of the violation.

18. Ownership After a Sale

Unless expressly stated otherwise in the product listing or a separate written agreement, the sale of a digital product through Paycul does not transfer ownership of the underlying intellectual property.

Instead, Buyers receive only the licence or usage rights described in the listing.

Any rights not expressly granted remain with the original rights holder.

19. Changes to this Copyright & Intellectual Property Policy

Paycul may update this Policy from time to time to reflect:

  • Changes in applicable laws.
  • Developments in intellectual property practices.
  • New Platform features.
  • Security and operational improvements.
  • Feedback from users and rights holders.

Where material changes are made, appropriate notice will be provided through the Platform where required.

The "Last Updated" date at the beginning of this Policy indicates the most recent revision.
